On July 7, 2017, the Board of Directors (the Board) of Korn/Ferry International, a Delaware corporation (the Company), elected Angel Martinez as a director of the Company to serve until the earlier of (i) the Companys 2017 Annual Meeting of Stockholders and the election and qualification of his successor and (ii) his death, resignation or removal from the Board. There are no arrangements or understandings between Mr. Martinez and any other persons pursuant to which he was selected as a director. There is no information that is required to be disclosed with respect to Mr. Martinez pursuant to Item 404(a) of Regulation S-K.
As a non-employee director, Mr. Martinez will, subject to his election at the Companys 2017 annual stockholder meeting, receive the standard compensation amounts payable to non-employee directors of the Company, as described in Exhibit 10.1 (Summary of Non-Employee Director Compensation Program) to the Companys Quarterly Report on Form 10-Q for the quarter ended January 31, 2017, which was filed with the Securities and Exchange Commission on March 10, 2017.
The Company issued a press release announcing the appointment of Mr. Martinez to the Companys Board on July 10, 2017. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 5.02 by this reference.
